UNION FENOSA S.A.; was formed under a public deed dated 10 February 1912, under the name Unión Eléctrica Madrileña, S.A., and is registered in the Companies Registry of Madrid, under sheet number 2,764, page 73, general volume 68 of the Companies Book, with Tax Identification Code-28005239.

On 26 May 1970, the Company changed its name to Unión Eléctrica S.A., and on 23 November 1982 was renamed UNIÓN ELÉCTRICA FENOSA, S.A., in accordance with the relevant deed of merger via takeover of Fuerzas Eléctricas del Noroeste, S.A. (FENOSA).

On 16 October 2001, the company changed its name to UNION FENOSA S.A.;, and changed its registered office from Calle Capitán Haya, number 53 in Madrid to Avenida de San Luis, number 77, also in Madrid.

The Articles of Association were amended on 5 July 1990 to comply with the Corporations Act of 22 December 1989, and such amendment is registered in the Companies Registry of Madrid, under volume 236, folio 1, sheet no. M-4.700, entry no. 1. The Company has an indefinite duration and its corporate purpose, in accordance with Article 2 of the aforementioned Articles of Association, is, inter alia, to carry on the business of production, sale and use of electric power, as well as alternative energy sources and the preparation of studies related thereto.
